1. Definitions
  • “Customer” means the trade account holder, including businesses and sole traders, approved to purchase goods on a trade basis.
  • “Goods” means electrical plugs, sockets, switches, and associated products supplied by DHR Distributions.
  • “Contract” refers to any agreement for the supply of Goods between DHR Distributions and the Customer.
  1. Application and Approval
  • Trade accounts are only available to UK-based businesses or tradespeople.
  • The Customer agrees to provide accurate business details and authorises credit checks as part of the approval process.
  • Approval of the trade account is at the sole discretion of DHR Distributions Limited.
  1. Pricing and Payment
  • All prices are exclusive of VAT unless otherwise stated.
  • Payment is due within [30 days of invoice] unless otherwise agreed in writing.
  • DHR Distributions Limited reserves the right to charge interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998, currently at 8% above the Bank of England base rate, plus a fixed sum.
  1. Credit Terms
  • Credit limits may be assigned or amended based on creditworthiness.
  • DHR Distributions Limited reserves the right to withdraw credit facilities at any time without notice.
  1. Ordering
  • Orders may be placed via email, phone, or online using the trade account.
  • All orders are subject to availability and acceptance by DHR Distributions.
  • Minimum order values may apply for discounted trade pricing.
  1. Delivery
  • Delivery times are estimates only and DHR Distributions is not liable for any delay.
  • Risk of damage or loss passes to the Customer upon delivery.
  • Title to Goods remains with DHR Distributions Limited until payment in full is received.
  1. Returns and Faulty Goods
  • Faulty or damaged items must be reported in writing within 48 hours of delivery.
  • Unwanted goods may be returned at DHR Distributions’ discretion within 14 days, subject to a [15%] restocking fee.
  • Custom or non-stock items are non-returnable unless defective.
  1. Warranty
  • Goods are warranted against manufacturing defects for 12 months from the date of delivery, unless otherwise specified.
  • DHR Distributions accepts no liability for incorrect installation or use.
  1. Retention of Title
  • Title to Goods remains with DHR Distributions Limited until full payment is received.
  • DHR Distributions reserves the right to recover unpaid goods.
  1. Limitation of Liability
  • DHR Distributions Limited shall not be liable for indirect, consequential, or economic losses.
  • Liability is limited to the value of the Goods supplied.
  • Nothing in these terms limits liability for death or personal injury caused by negligence.
  1. Termination
  • DHR Distributions may suspend or terminate the Customer’s trade account without notice in the event of a breach of these terms.
  • All outstanding amounts become immediately due upon termination.
  1. Governing Law
  • These terms shall be governed by and interpreted in accordance with the laws of England and Wales.
  • Any disputes shall be resolved in the courts of England and Wales.
  1. Acceptance

By applying for and using a trade account, the Customer acknowledges and agrees to be bound by these Terms and Conditions.

 

  1. Data Protection and Marketing Consent
  • DHR Distributions Limited processes personal data in accordance with the UK General Data Protection Regulation (UK-GDPR) and the Data Protection Act 2018.
  • By applying for a trade account, the Customer acknowledges that their business and contact details will be stored securely for the purpose of account management, order fulfilment, credit checking, and legal compliance.
  • Personal data may be shared with third-party service providers (e.g., couriers, credit reference agencies) strictly for operational or legal purposes.
  • With the Customer’s consent, DHR Distributions Limited may use business contact information (including email and phone number) to send occasional marketing communications such as product updates, special offers, and trade promotions.
  • The Customer may opt out of marketing communications at any time by clicking “unsubscribe” in emails or contacting our sales and marketing team directly at [email protected].
  • Data will be retained only as long as necessary for the purposes set out in these terms, and in accordance with legal obligations.
